CitroTech Terms and Conditions
These Terms and Conditions (“Terms”) of CitroTech Inc. (“CitroTech”) govern your use of CitroTech’s website and your purchase or use of CitroTech’s products and services. By accessing our site or engaging our services, you agree to these Terms. These Terms apply to all CitroTech customers (residential and commercial) in our service areas. CitroTech reserves the right to update these Terms on our website at any time. Continued use of our site or services after changes are posted constitutes acceptance of the revised Terms.
1. Scope of Services
CitroTech (or “we”) provides wildfire risk mitigation products and services, including: (a) CitroSafe™ Systems – automated exterior wildfire sprinkler systems for structures; (b) Lumber Treatments – lumber treatments or supply of lumber treated wood products; and (c) Long-Term Fire Retardant Spraying – application of fire-retardant chemicals to vegetation or structures. These Terms govern all use of our website and all sales or installations of the above products and services. Any informational materials or advice we provide (e.g., consultations, recommendations, or content on our site) are general in nature and do not guarantee protection against wildfires.
2. Acknowledgment of Wildfire Risks and No Guarantee
CitroTech’s products and services are designed to reduce wildfire risks to your property, but you acknowledge and agree that no system or treatment can guarantee protection against all wildfires or wildfire damage. Wildfires are dangerous and unpredictable events influenced by factors beyond any one’s control (such as extreme weather, wind, fire intensity, and environmental conditions). Accordingly, CitroTech makes no promise or guarantee that its products or services will prevent fire, damage, loss of property, injury, or loss of life in the event of a wildfire. The limitations of each service are further clarified as follows:
- Sprinkler Systems (CitroSafe™ Systems): Our roof/exterior sprinkler systems help mitigate wildfire hazards by reducing ignition potential from embers, radiant heat, and direct flames. However, we do not guarantee that installing a CitroSafe™ sprinkler system will prevent property damage or loss in a wildfire. The system’s effectiveness depends on proper maintenance, timely activation, and other factors. CitroTech is not responsible if the system fails due to causes beyond our control – e.g., power outages or user’s failure to maintain or correctly use the system. You are advised that sprinkler systems are a risk mitigation tool, not an absolute fire shield or a substitute for evacuation or professional firefighting efforts. Always follow local evacuation orders and fire department instructions; CitroTech is not liable for any injury, death, or property loss due to delayed evacuation or reliance on a sprinkler system during a wildfire.
- Lumber Treatments: CitroTech’s treated lumber products and wood treatment services enhance the fire resistance of wood products by making them more difficult to ignite when exposed to flames. However, treated wood is not fireproof. Fire-retardant treatment slows the combustion of wood but cannot indefinitely prevent it from burning under extreme heat or prolonged fire exposure. Treated wood products must be used in accordance with all applicable building codes and guidelines. CitroTech does not warrant or guarantee that treated wood will never ignite or suffer damage in a fire. The treatment is intended to reduce flame spread, but additional fire mitigation measures (such as proper building design and defensible space) are still required. All responsibility for compliance with building regulations, codes and ordinances, and safe use of treated wood lies with you; CitroTech is not liable for any damages, losses, fines or injuries resulting from misuse of treated wood or non-compliance with construction regulations, codes and ordinances.
- Fire Retardant Spraying (Long-Term Retardants): CitroTech’s long-term fire retardant application service (e.g., spraying CitroTech’s fire-retardant formulation on vegetation, landscaping, or structures) is intended to slow or reduce the spread of wildfire across treated areas. This service is not a guarantee of protection. Even when properly applied, fire retardant is not a fire shield and will not prevent all fire scenarios. Its effectiveness can last for a limited time and can be overwhelmed by high-intensity fires or adverse conditions. CitroTech makes no guarantee of protection even for surfaces treated with its retardant. You assume all risks associated with wildfire damage despite these treatments, and should maintain other fire defense measures.
You agree that CitroTech shall not be held liable for any wildfire-related losses, as you understand, and acknowledge and agree that wildfire mitigation products have inherent limitations and no product can ensure your property will survive a wildfire.
3. Limited Warranty for CitroSafe™ Sprinkler Systems
CitroTech offers a limited, two-year warranty and maintenance program for new CitroSafe™ System installations (sprinkler system installations) only. This limited warranty covers installation defects in the CitroSafe™ sprinkler system installation workmanship for a period of two (2) years from the date of installation. During this two-year period, CitroTech (or its authorized contractors) will provide inspection, maintenance, and repairs as needed to correct any covered defects. Specifically, CitroTech will conduct up to one scheduled inspection and maintenance visit per year during the warranty period, which includes sprinkler testing, and verification of system functionality. If any part of the CitroSafe™ system is not functioning within the two-year period, CitroTech will repair the system as warranted.
Scope and Limitations of Warranty: This two-year warranty is limited to defects in CitroSafe™ system installation only. It does not cover damage or failures due to external causes or misuse – such as damage from wildfires or other natural disasters, alterations or repairs by third parties, lack of maintenance by you, vandalism, or other causes beyond CitroTech’s control. The warranty also does not guarantee any specific performance outcome in a wildfire (as noted in Section 2). It is a repair warranty, not an insurance policy for wildfire damage. After two years, CitroTech’s warranty and maintenance obligations end; the ongoing upkeep of the sprinkler system becomes your responsibility. As more fully described in Section 4, CitroTech disclaims any other warranties.
To initiate a claim under this limited warranty, you must notify CitroTech in writing of the defect within the warranty period and provide unlimited access to the system for inspection and repair. Except as expressly provided herein, all CitroTech products and services are provided “as is” with no other warranties (see Section 4 below).
4. Disclaimer of Warranties (No Other Warranties)
Except for the CitroSafe™ System warranty set forth above, CitroTech makes no other warranties of any kind, whether express, implied, or statutory, regarding its products and services. To the fullest extent permitted by law, all CitroTech goods and services are provided “AS IS” and without any warranty or guarantee. This includes any implied warranties of merchantability, fitness for a particular purpose, quality, or performance, all of which are hereby disclaimed. Any performance specifications or efficacy information (such as fire ratings or safety certifications) are provided for informational purposes only and do not constitute a warranty or promise of actual performance under real wildfire conditions [1].
No Warranty for Treated Wood & Retardants: No warranty is made regarding the fire-resistance of treated wood or sprayed retardant over time. Lumber treatments are sold without any promise of lasting performance – for instance, exposure to weather or high humidity can affect its properties, and conditions of use are beyond our control, so the manufacturer (and CitroTech) disclaims all liability for the results. Likewise, CitroTech provides long-term retardant spraying as a service but does not warrant that the retardant will remain effective for any specific duration or that it will prevent fire damage. All warranties, whether express or implied, that are not expressly provided in Section 3 are excluded.
Customer Inspection: You are responsible for inspecting any goods or services upon delivery or completion. Any issues or defects must be reported promptly but in no event more than three (3) days following delivery or completion. Use of the product or service after delivery or completion constitutes acceptance “as is.” No CitroTech employee or representative is authorized to modify or extend any warranty verbally or in writing. This Section 4 shall survive termination or expiration of any agreement between you and CitroTech.
5. Limitation of Liability
To the fullest extent permitted by law, CitroTech’s liability for any and all claims arising out of or related to your use of our website, products, or services is limited to the amount you paid to CitroTech for the specific product or service giving rise to the claim. This limitation means that under no circumstances will CitroTech be liable for an amount greater than what you paid for the CitroTech service or installation.
Furthermore, CitroTech shall not be liable for any special, indirect, incidental, punitive, exemplary, incidental or consequential damages of any kind. This exclusion applies to any losses or damages for lost profits or lost revenues, loss of use of property, cost of substitute equipment or services, downtime, or any similar incidental or consequential loss, whether based in contract, warranty, negligence, strict liability, or any other legal theory.
No Liability for Uncontrolled Events: CitroTech will not be liable for any failure or delay in performing our obligations (including any failure of equipment to activate or function) if that failure or delay is due to causes beyond our control – such as natural disasters (including wildfires), acts of God, power or utility failures, governing law, judicial or government orders, war, terrorism, protests, riots, labor strikes, supply shortages, pandemics, epidemics, or weather events. In legal terms, such events constitute force majeure. If a force majeure event occurs, our duties will be suspended for the duration of that event and we may, at our option, cancel the affected order or reschedule service without liability to you.
Specific Exclusions: Without limiting the generality of the above, CitroTech is not liable for:
- Wildfire or Natural Disaster Damage: Any damage to property or persons arising from wildfire, brushfire, or any natural disaster, even if you purchased products or services from CitroTech intended to mitigate such damage. CitroTech does not insure your property – that is the purpose of property insurance, and you should maintain adequate insurance coverage. We make no guarantee that any insurance carrier will offer discounts or approve claims related to our products, and we are not responsible for any denial of insurance claims or changes in insurance terms following installation of our system.
- Client’s Failure to Maintain or Use Properly: Any losses or system failures attributable to improper maintenance, misuse, tampering, or modifications by you or third parties are solely your responsibility. For instance, if you disable the system, fail to keep CitroSafe™ tanks filled or power connected, or do not schedule recommended inspections, CitroTech is not liable for resulting malfunctions. We strongly recommend Clients perform regular testing and upkeep of any installed equipment beyond our warranty period.
- Acts of Third Parties or Other External Factors: Any damage or failure caused by third parties not under CitroTech’s control – for example, power outages, cut utility lines, or interference/damage by contractors or other service providers. In addition, if a third-party emergency service (such as a fire department or private wildfire response team) interacts with our system or applies other retardants, we are not liable for their actions or any incompatibilities. Wildfire behavior is influenced by external factors (like flying embers or neighboring property conditions) beyond CitroTech’s control, and thus outside the scope of our liability.
6. Third-Party Services and Equipment
Certain CitroTech offerings rely on or incorporate third-party products and services. CitroTech may supply or install components manufactured by third parties (for example, pumps, sprinkler heads, valves, controllers, or fire-retardant chemicals produced by other manufacturers) as part of our systems. We may also utilize third-party services such as communications networks for system operation. CitroTech is not the manufacturer or provider of any third-party products or services, and we make no warranty, express or implied, and assumes no liability for them, including without limitation infringement, merchantability or fitness for a particular purpose, and lost revenue or lost profits, even if advised of the possibility of the losses and even if the losses were foreseeable.
If any third-party product installed by CitroTech (such as a pump or valve made by a different company) is defective or fails, your recourse, if any, is against the product’s manufacturer under their warranty. CitroTech does not assume liability for manufacturing flaws of other brands. Any third-party warranties (for example, a pump manufacturer’s warranty) are between you and that manufacturer, and we encourage you to register such products if required to activate warranties. CitroTech’s own limited warranty (Section 3) covers only the installation of those components, but not defects inherent in the products from third parties.
Additionally, CitroTech is not responsible for any actions or omissions of third parties involved in wildfire response or property protection. For instance, if you hire a third-party private firefighting service or if local emergency services interact with our system, we are not liable for their conduct or any damage they cause. We are also not affiliated with any insurance company; any statements about insurance benefits or regulatory compliance are for informational purposes and not a guarantee.
7. Client Responsibilities and Indemnification
Client’s Responsibilities: You agree to use CitroTech’s products and services in accordance with all instructions, documentation, and applicable laws, regulations, codes or ordinances. This obligation includes following any maintenance guidelines we provide (e.g., winterizing sprinklers, reapplying retardant after its effective period, etc.) and operating the systems in a safe and recommended manner. You are responsible for obtaining any required permits or approvals for installations on your property. You must also ensure that the use of our services (sprinkler activation, chemical application, etc.) is permissible under any homeowner association (HOA) rules, or local codes or ordinances. CitroTech is not liable for fines or legal issues due to code violations or illegal use of our products on your property – it is your duty to ensure compliance and proper use.
After CitroTech installs a system or performs a service, ongoing routine maintenance is your responsibility (except to the extent you have purchased our CitroSafe™ maintenance program). We strongly recommend regular inspections beyond our warranty period. If you notice any issue (e.g., low pressure, damage to equipment, or need for re-application of retardant), you should address it promptly. Failure to maintain the equipment in good working order or to undertake any safety recommendations may void any applicable warranty and will be at your own risk.
Indemnification: You (the user of CitroTech’s services) agree to indemnify, defend, and hold harmless CitroTech, its parent company, subsidiaries, affiliates, stockholders, members, directors, officers, employees, agents, and contractors, from and against any and all claims, liabilities, damages, losses, and expenses (including court costs and reasonable attorneys’ fees) that arise out of or relate to (a) your use or misuse of our website, products, or services, (b) your negligence or willful misconduct, or (c) your breach of any provision of these Terms. This indemnification requirement means that if a third party (including your insurer or a neighbor) brings a claim or lawsuit against CitroTech for your act or omission, you will cover all costs and liabilities incurred by CitroTech in connection with that claim.
8. Intellectual Property Rights
All content and materials on CitroTech’s website, and all CitroTech branding, logos, and product names, are the intellectual property of CitroTech (or its licensors) and are protected by copyright, trademark, and other applicable law governing the rights and ownership of intellectual property. This intellectual property includes but is not limited to the registered trademark CitroTech® name and its associated logo, the CitroSafe™ name, any CitroTech product names (such as proprietary chemical formulations), website text, photographs, diagrams, and any documentation we provide. CitroTech retains all rights, title, and interest in and to its intellectual property.
You are granted a limited, revocable license to access and use the CitroTech website and any provided materials for your own informational and non-commercial use in connection with evaluating or using our services. You may not copy, reproduce, distribute, publicly display, or create derivative works from our content without our prior written consent, which consent may be dined in CitroTech’s sole and absolute discretion. Unauthorized use of our intellectual property (such as using our trademarks in a confusing way or scraping content from our website) is strictly prohibited and may result, in addition to other rights and remedies, in termination of website access and legal action.
If you submit any feedback, ideas, or suggestions to CitroTech (for example, improvements to our services), you agree that CitroTech can use them without restriction or compensation to you, and you hereby assign any intellectual property rights in such feedback, ideas, or suggestions to CitroTech.
9. Termination and Refusal of Service
CitroTech reserves the right to refuse, suspend, or terminate your access to the website or services at our discretion if we believe you have violated these Terms, engaged in unlawful behavior, or any conduct harmful to our interests or the safety of others. For example, if a user is found to be tampering with our system in a way that could cause danger, we may disable remote access or terminate any service contracts with that user.
If you have entered into a subscription or recurring service agreement with CitroTech (such as a scheduled re-application plan for fire retardant), that agreement may specify its own term and cancellation policy. You may terminate a service contract according to those terms (for instance, providing required notice prior to renewal, if applicable). Absent a specific contract term, either party may terminate an ongoing service relationship with 30 days’ written notice, provided that all fees for any work already performed remain due.
Upon termination of service, Sections that by their nature should survive (such as warranty disclaimers, liability limitations, indemnity, governing law, and others) will remain in effect.
10. EPA and Regulatory Disclaimers
Some CitroTech products may carry environmental or safety recognition such as the U.S. Environmental Protection Agency (EPA) Safer Choice label. Any EPA/Safer Choice recognition does not constitute an endorsement of that product by the EPA. The Safer Choice label signifies that the product’s formula contains ingredients that meet EPA’s criteria for human and environmental safety. However, the EPA has not independently confirmed the composition of the product, nor evaluated any of CitroTech’s specific performance claims. For the avoidance of doubt, the Safer Choice label relates to ingredient safety, not a guarantee of effectiveness, and it should not be construed as the EPA verifying or certifying our claims of fire-retardant performance.
All statements on our website or in our marketing about product safety or compliance (for example, “EPA Recognized” or “environmentally friendly”) are intended to convey our adherence to certain standards, but do not override this disclaimer that regulatory certifications are limited in scope. CitroTech also notes that while we strive to comply with all relevant regulations (including EPA regulations on chemical products), no regulatory body has officially endorsed the efficacy of our services in preventing wildfires. Always refer to official guidance from agencies such as CAL FIRE and local authorities for wildfire preparedness; our products are supplementary measures.
If our products are registered with the EPA (in the case of any required registration), those products should be used strictly according to their labeling instructions. EPA registration, if applicable, does not guarantee that a product will perform in any particular way in a wildfire scenario – it simply means the product can be sold for certain uses. By using our chemical products, you acknowledge the background set forth above and agree to follow all usage guidelines, ensuring you wear any recommended protective gear and apply treatments as instructed in approved areas only.
11. Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to your use of CitroTech’s website or services shall be governed by the laws of the State of Wyoming, without regard to its conflict of laws principles or any substantive rule or law that would result in the application of any laws other than the State of Wyoming
Jurisdiction: You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state courts located Cheyene, Laramie County, Wyoming or the U.S. district courts for the District of Wyoming located in Cheyenne, Wyoming. You consent to the personal jurisdiction of such Wyoming courts and waive any objections (including forum non conveniens or inconvenient forum) to such venue.
Not for Third-Party Benefit: These Terms are for the benefit of you and CitroTech, not any third party. No third party shall have any right to enforce any term hereunder.
12. Entire Agreement and Severability
These Terms (together with any Service Agreement, order form, or proposal signed by you, and any referenced documents like our Privacy Policy) constitute the entire agreement between you and CitroTech regarding the subject matter herein, superseding all prior or contemporaneous communications and proposals (whether oral or written). In the event of a direct conflict between these general Terms and the scope, cost or payment terms of a specific written contract you entered into with CitroTech, those specific contract terms will control for that project, to the extent of the direct conflict.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. Any invalid or unenforceable term shall be interpreted (or reformed by the court) to fulfill its intended purpose to the greatest extent permitted by Wyoming law, and if it cannot be, it will be severed from the Agreement, and the rest of the Terms will continue to operate as binding.
No waiver by CitroTech of any breach or default by you shall be deemed a waiver of any preceding or subsequent breach or default. Our failure to enforce any provision shall not constitute a waiver of that provision. To be effective, any waiver of a breach or default must be signed by you and CitroTech.
